分销计划条款

本条款适用于所有参加 Australia Chun Nuan Hua Kai TCM Clinic Pty Ltd（ABN 92 691 288 221，以下简称「我们」）分销计划的销售团员与销售团长（以下统称「参与者」）。申请参加即表示您已阅读、理解并同意本条款。

计划性质说明
本计划是一项基于真实商品零售销售的推广奖励计划。参加完全免费，无需缴纳任何入会费、保证金或培训费，也无需购买、囤积或代销任何商品。所有佣金均来自实际完成并付款的顾客订单，不因招募他人加入而产生任何收入。

1. 参加资格

年满 18 周岁
持有有效的澳大利亚银行账户（用于收取佣金）
提交申请并经我们审核通过

我们保留自主决定是否批准任何申请的权利，无须说明理由。

2. 角色与佣金结构

计划设两种角色：

角色	佣金
销售团员	通过其推广码成交的每笔订单，获得推广佣金
销售团长	通过其推广码成交的每笔订单，获得推广佣金；名下团员成交的订单，另获得团队奖励

佣金为固定金额，与订单金额无关。当前适用金额公布于会员中心。我们保留调整佣金金额的权利，调整将提前通过邮件或站内通知告知，并仅适用于通知生效后产生的订单。

团队奖励仅限一级，不存在多层级叠加计酬。

3. 推广关系的归属

每位参与者拥有唯一的推广码及对应的推广链接与二维码
顾客通过您的推广链接或二维码访问本站时，系统会在其浏览器中记录该推广码，有效期 30 天
顾客在有效期内注册账户的，其推广关系将永久绑定至您名下，后续订单持续计佣
顾客未注册而以游客身份下单的，按下单时记录的推广码归属
顾客清除浏览器数据、更换设备或超过 30 天后再访问的，可能导致推广关系无法记录，此种情形不构成我们的违约
同一顾客已绑定推广关系后，不因其后续使用他人链接而变更归属

4. 不予计佣的情形

下列情形不产生佣金，或已产生的佣金将被作废：

自购：下单人与推广人为同一账号的，该订单的全部佣金（含团队奖励）均不发放
订单被取消、退款或支付失败
订单未进入「已完成」状态
推广人在订单完成时已不具备参与者身份
使用已失效或已作废的推广码产生的订单
我们合理认定存在虚假交易、恶意刷单、滥用推广机制或其他违反诚信原则的行为

5. 佣金的审核与结算

订单状态变为「已完成」后，系统生成待审核佣金记录
佣金经我们审核通过后计入账户
已通过审核的佣金须经过 30 天退款观察期方可提现。观察期自佣金记录生成之日起算，期间如关联订单发生退款或取消，该笔佣金作废
观察期满且关联订单仍处于「已完成」状态的，佣金转为可提现

6. 提现

可提现金额达到公布的最低提现门槛后，方可申请提现
提现须提供收款账户信息，账户名称须与您的注册姓名一致。不一致的，我们有权拒绝该笔提现
我们通常在核准后的合理时间内安排转账，并记录转账凭证号
因您提供的账户信息错误导致转账失败或款项误付的，由您自行承担后果及相关费用

7. 角色变更与推广码

团员升为团长：原团员推广码即时作废，系统生成新的团长推广码。已绑定的老顾客归属关系不变。

团长卸任：

其团长推广码即时作废，系统生成新码
其名下全体团员的推广码同时失效，这些团员进入「待重新归属」状态
待重新归属期间，已绑定顾客产生的订单，佣金仍正常结算 45 天（自卸任之日起算）
逾 45 天仍未完成重新归属的，此后产生的订单不再计佣
经我们重新指派团长后，系统生成新推广码，计佣恢复正常

推广码作废后，使用旧链接或旧二维码访问本站将显示失效提示，无法建立新的推广关系。参与者有责任在换码后停止使用并更新已发布的推广材料。因继续使用失效推广码而未能计佣的，我们不承担责任。

8. 推广行为规范

参与者在推广过程中不得：

作出任何超出商品实际功效的宣称，尤其不得宣称商品可以治疗、预防或治愈任何疾病
暗示或声称本商品可替代医疗诊断、处方药物或专业治疗
使用未经我们书面许可的商标、标识或宣传素材
以垃圾邮件、群发短信、虚假账号或其他违反《2003年反垃圾邮件法》等法律的方式推广
以我们的名义作出任何承诺、保证或声明
在付费广告平台上使用我们的品牌名称或商标进行竞价
注册包含我们品牌名称的域名或社交账号
虚构收入数据或向他人承诺特定收益

合规提示：中药及保健类商品的宣传在澳大利亚受《治疗商品管理局》（TGA）监管，功效宣称有严格限制。违规宣传可能使您个人承担法律责任。请仅使用我们官方提供的商品描述与素材。

9. 收入无保证

本计划不保证任何收入。您的收益完全取决于您推广所带来的实际销售成果，可能为零。我们从未、也不会作出任何关于收入水平的承诺或暗示。任何来自其他参与者的收入宣称，均不代表我们的立场。

10. 独立关系

参与者以独立身份参加本计划。本条款不构成雇佣、代理、合伙或合资关系。参与者：

无权以我们的名义签订合同或作出承诺
不享有雇员待遇，包括但不限于工资、年假、病假、退休金（superannuation）或工伤保险
自行决定推广的方式、时间与地点

11. 税务责任

佣金收入的税务申报与缴纳由参与者自行负责。我们不代扣代缴任何税款。视您的具体情况，您可能需要申报个人所得税、注册 ABN，或在达到法定门槛时注册 GST。请就您的具体情况咨询专业税务顾问——我们不提供税务建议。

12. 暂停与终止

我们可在下列情形下暂停或终止您的参与资格：

违反本条款或我们的其他政策
从事欺诈、刷单或损害我们商誉的行为
长期无推广活动
我们决定终止整个分销计划

因违规而被终止的，账户内未结算的佣金一律作废。非因违规而终止的（含我们主动终止计划），已通过审核且已满观察期的佣金仍可按正常流程提现。

您也可随时通过邮件申请退出本计划。

13. 条款变更

我们保留修改本条款的权利。重大变更将提前通过邮件或站内通知告知。变更生效后您继续参与本计划，即视为接受变更后的条款。

14. 责任限制

在法律允许的最大范围内，我们对下列情形不承担责任：因技术故障、Cookie 失效、浏览器设置或第三方服务问题导致的推广关系记录失败；因参与者自身违规导致的任何损失；以及任何间接或后果性损失。我们就本计划承担的赔偿总额，不超过您在相关事件发生前 12 个月内实际取得的佣金总额。

本条款不排除《澳洲消费者法》中依法不可排除的权利。

15. 适用法律

本条款受澳大利亚新南威尔士州法律管辖，双方接受该州法院的非专属管辖。

Referral Program Terms

These terms apply to all sales members and team leaders (“Participants”) in the referral program operated by Australia Chun Nuan Hua Kai TCM Clinic Pty Ltd (ABN 92 691 288 221) (“we”, “us”, “our”). By applying to join, you confirm that you have read, understood and agree to these terms.

Nature of this program
This is a referral reward program based on genuine retail sales of real products. Participation is entirely free — there is no joining fee, bond, training fee, and no requirement to purchase, hold or resell any inventory. All commission derives from actual completed and paid customer orders. No income arises from recruiting other participants.

1. Eligibility

You must be at least 18 years of age.
You must hold a valid Australian bank account (for commission payments).
Your application must be submitted and approved by us.

We may approve or decline any application at our discretion, without giving reasons.

2. Roles and commission structure

Role	Commission
Sales Member	A referral commission on each order placed through their referral code
Team Leader	A referral commission on their own referred orders, plus a team reward on orders referred by members in their team

Commission is a fixed amount per order, independent of order value. Current amounts are published in the member centre. We may vary commission amounts, with prior notice by email or on-site notification, applying only to orders arising after the notice takes effect.

Team rewards extend to one level only. There is no multi-level or cascading compensation.

3. Referral attribution

Each Participant is issued a unique referral code, with a corresponding link and QR code.
When a customer arrives via your link or QR code, the referral code is recorded in their browser for 30 days.
If the customer registers an account within that period, the referral relationship is permanently bound to you and subsequent orders continue to earn commission.
Where a customer orders as a guest without registering, attribution follows the referral code recorded at the time of the order.
If a customer clears browser data, changes device, or returns after 30 days, the referral relationship may not be recorded. This does not constitute a breach by us.
Once a customer is bound to a Participant, that attribution does not change if they later use another Participant’s link.

4. Circumstances where no commission is payable

Self-purchase: where the purchaser and the referrer are the same account, no commission (including team reward) is payable on that order.
The order is cancelled, refunded or payment fails.
The order does not reach “Completed” status.
The referrer is no longer a Participant at the time the order completes.
The order arises from an expired or revoked referral code.
We reasonably determine that the transaction is artificial, involves order manipulation, abuse of the referral mechanism, or other conduct contrary to good faith.

5. Approval and settlement

A pending commission record is created when an order reaches “Completed” status.
Commission is credited to your account once approved by us.
Approved commission is subject to a 30-day refund observation period before it becomes withdrawable. The period runs from the date the commission record was created. If the related order is refunded or cancelled during this period, the commission is reversed.
Where the period expires and the related order remains “Completed”, the commission becomes available for withdrawal.

6. Withdrawals

Withdrawals may be requested once available commission reaches the published minimum threshold.
You must supply valid account details. The account name must match your registered name. We may decline a withdrawal where it does not.
We will arrange transfer within a reasonable time after approval and record the transfer reference.
Where a transfer fails or funds are misdirected due to incorrect details supplied by you, you bear the consequences and any associated costs.

7. Role changes and referral codes

Promotion to Team Leader: the former member code is revoked immediately and a new leader code is issued. Existing customer attributions are unaffected.

Ceasing to be a Team Leader:

The leader code is revoked immediately and a new code issued.
The referral codes of all members in that team also cease to be valid, and those members enter a “pending reassignment” state.
During pending reassignment, orders from already-bound customers continue to earn commission for 45 days from the date the leader ceased that role.
Where reassignment is not completed within 45 days, orders arising after that point earn no commission.
Once we reassign the member to a new team leader, a new referral code is issued and commission resumes.

After a code is revoked, visits using the old link or QR code will display an expiry notice and cannot establish a new referral relationship. Participants are responsible for ceasing use of, and updating, any published promotional material after a code change. We accept no liability for commission not earned due to continued use of a revoked code.

8. Promotional conduct

Participants must not:

make any claim beyond the actual properties of the products, and in particular must not claim that any product treats, prevents or cures any disease;
suggest that the products substitute for medical diagnosis, prescription medication or professional treatment;
use our trade marks, logos or marketing materials without our written permission;
promote by spam email, bulk SMS, fake accounts or any means contrary to the Spam Act 2003 (Cth) or other law;
make any promise, warranty or representation on our behalf;
bid on our brand name or trade marks on paid advertising platforms;
register domain names or social media accounts incorporating our brand name;
fabricate income figures or promise specific earnings to others.

Compliance note: advertising of herbal and complementary health products in Australia is regulated by the Therapeutic Goods Administration (TGA), and therapeutic claims are strictly limited. Non-compliant promotion may expose you to personal liability. Please use only the official product descriptions and materials we provide.

9. No income guarantee

This program guarantees no income. Your earnings depend entirely on actual sales generated by your referrals and may be nil. We have never made, and do not make, any representation as to income levels. Any income claims made by other Participants do not represent our position.

10. Independent relationship

Participants take part in an independent capacity. These terms do not create an employment, agency, partnership or joint venture relationship. Participants:

have no authority to enter contracts or make commitments on our behalf;
are not entitled to employee benefits, including wages, annual leave, sick leave, superannuation or workers’ compensation;
determine their own methods, hours and location of promotional activity.

11. Tax

Participants are solely responsible for declaring and paying tax on commission income. We do not withhold tax. Depending on your circumstances you may need to declare income tax, register for an ABN, or register for GST if you exceed the relevant threshold. Please consult a qualified tax adviser about your own situation — we do not provide tax advice.

12. Suspension and termination

We may suspend or terminate your participation where:

you breach these terms or our other policies;
you engage in fraud, order manipulation or conduct damaging to our reputation;
you have been inactive for an extended period;
we decide to discontinue the program.

Where participation is terminated for breach, any unsettled commission is forfeited. Where terminated for other reasons (including our discontinuation of the program), approved commission that has completed the observation period remains withdrawable in the ordinary course.

You may withdraw from the program at any time by emailing us.

13. Changes to these terms

We may amend these terms. Material changes will be notified in advance by email or on-site notice. Continued participation after changes take effect constitutes acceptance.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for: failure to record a referral relationship due to technical faults, cookie expiry, browser settings or third-party service issues; any loss arising from a Participant’s own breach; or any indirect or consequential loss. Our aggregate liability in connection with this program does not exceed the total commission actually earned by you in the 12 months preceding the relevant event.

Nothing in these terms excludes rights under the Australian Consumer Law which cannot lawfully be excluded.

15. Governing law

These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
